This Master Service Agreement (“Agreement”) is entered into between Tymlova, operating under Tymlova Technologies (“Service Provider”), and the undersigned client (“Client”). This Agreement governs all content creation, digital services, projects, and related deliverables executed by Tymlova.
1. Scope of Services
Tymlova provides one-time project services or sprint-based services with a maximum standard duration of up to 10 days, unless otherwise stated in an applicable Statement of Work (SOW).
Expedited delivery (within 24 hours) is available upon request and is subject to additional fees.
2. Project Duration & Delivery
- Standard delivery time: up to 10 days including weekends.
- Expedited jobs: range from 9days to 24 hours (extra fee applies).
- Client must provide all required assets through Tymlova’s onboarding packet UI or any approved channel.
- Delays caused by incomplete materials pause the delivery timeline.
3. Revisions
Unless otherwise stated in the SOW: - Up to 1 revision cycles are included. - Additional revisions attract extra charges.
4. Payment Terms
- Payment structure: 100% upfront regardless of project size.
- Expedited jobs require 100% upfront.
- Work begins once payment and required assets are received.
5. Intellectual Property Rights
- Client retains full rights and ownership to all final deliverables.
- Tymlova retains the right to request permission to use selected deliverables for promotional, case study, or portfolio purposes.
- Client may accept or decline such requests.
6. Confidentiality
Both parties agree to maintain strict confidentiality regarding all shared information, brand assets, logins, strategies, and any sensitive material. A separate NDA governs confidentiality terms.
7. Talent Pool & Internal Assignments
Tymlova may assign work to members of its vetted and trained talent pool. All Tymlova talents operate under legally binding internal agreements requiring professionalism, confidentiality, and adherence to company guidelines.
8. Rejection, Cancellation & Refunds
Refunds follow Tymlova’s refund policy. Work delivered up to the point of cancellation will be billed proportionately.
9. Limitation of Liability
Tymlova is not liable for: - delays caused by third-party tools, hosting issues, or unavailable client assets; - indirect losses such as revenue or reputation impact.
10. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
11. Acceptance
Use of Tymlova’s services or signing of any SOW constitutes full acceptance of this Agreement.
